Business Terms & Conditions

1. Acceptance of Terms

By accessing or using SmartLanka POS (the Platform), you, as the business or user, confirm that you have read, understood, and agree to be bound by these Business Terms & Conditions. If you do not agree, discontinue use immediately.

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials.
You must ensure all users under your account comply with these terms.
You agree to provide accurate, complete, and up-to-date business information.
You must notify us immediately of any unauthorised access to your account.
You are solely responsible for all activity that occurs under your account.

3. Permitted Use

You may use the platform only for the following legitimate business activities:

Retail, restaurant, or service-based business operations.
Managing employees, inventory, sales, and customer records within your registered business.
Generating invoices, reports, and financial records for your own business use.

4. Prohibited Activities

You must not use SmartLanka POS in the following ways:

For any unlawful, fraudulent, or deceptive purpose.
To reverse-engineer, decompile, or attempt to extract source code from the platform.
To resell or sublicense access to the platform without prior written consent.
To use automated scripts or bots to scrape or overload the platform servers.
To transmit malware, viruses, or any code designed to damage or interfere with operations.
To impersonate another business, user, or entity on the platform.

5. Payment & Subscription

Subscription fees are billed in advance on a monthly basis.
All fees are stated in LKR (Sri Lankan Rupees) and are inclusive of applicable taxes.
Late or failed payments may result in temporary suspension of PRO features.
We reserve the right to modify pricing with 30 days prior notice via email.
Disputed charges must be raised within 14 days of the billing date.

6. Intellectual Property

All content, code, branding, and design elements of SmartLanka POS are the exclusive intellectual property of SmartLanka POS. You are granted a limited, non-exclusive, non-transferable licence to use the platform solely for your registered business purposes. No ownership rights are transferred.

7. Limitation of Liability

The platform is provided as is without any warranties, express or implied.
We are not liable for any indirect, incidental, or consequential losses arising from platform use.
Our total liability for any claim shall not exceed the amount paid by you in the preceding 3 months.
We are not responsible for losses caused by third-party integrations, including payment gateways.

8. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by force majeure events, third-party outages, or factors beyond our reasonable control.

9. Amendments

We reserve the right to amend these terms at any time. You will be notified of material changes via email or in-platform notification. Continued use of the platform following notification constitutes acceptance of the revised terms.

10. Governing Law

These terms are governed by the laws of Sri Lanka. Any disputes shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
